terms of service

last updated

1. Acceptance of these terms

These Terms of Service ("Terms") are a legal agreement between you and Multiplayer Labs, Inc. ("multipeer", "we", "us" or "our"). They govern your use of the multipeer desktop application, the website at multipeer.sh, your account, and any related services we provide (together, the "Services").

By downloading or installing the application, creating an account, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind it to these Terms, and "you" refers to that organization as well.

2. Eligibility

You must be at least 13 years old (or the minimum age required in your country) and legally able to enter into a binding contract to use the Services. By using the Services you represent that you meet these requirements and that you are not barred from using them under any applicable law.

3. Your account

You sign in to multipeer with a Google account, a GitHub account, or a one-time code sent to your email address. You are responsible for maintaining the security of those accounts and of the computers on which you are signed in; anyone with access to them can use multipeer as you.

You are responsible for all activity that occurs under your account and on the devices you register, including the activity of teammates and collaborators on canvases you host. You must notify us promptly at hello@multipeer.sh if you become aware of any unauthorized use of your account.

We may suspend or terminate accounts that violate these Terms or that pose a risk to the Services or to other users, as described in Section 12.

4. License to use the Services

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the multipeer application on devices you own or control, and to access the website, for your own internal purposes or those of your organization.

You may not, and may not permit anyone else to:

  • Copy, modify, adapt, translate or create derivative works of the Services, except as permitted by law or by the licenses of included open source components.
  • Sell, rent, lease, sublicense, distribute or otherwise transfer the Services or access to them.
  • Reverse engineer, decompile or disassemble the Services, except to the extent such restriction is prohibited by applicable law.
  • Remove or alter any proprietary notices in the Services.
  • Use the Services to build a competing product or service.

The Services include open source components that are provided under their own licenses, listed in the application's third-party notices. Those licenses govern your use of those components.

5. Your content

"Your Content" means everything you create, place or run on a multipeer canvas, including your code, files, notes, terminal sessions and the input and output of your agents. You retain all rights in Your Content. We do not access, collect or store Your Content; it is synchronized directly between the computers in your session and does not pass through our servers.

When you share a canvas, you authorize the people in that session to view Your Content and, if you enable the "collaborators can type" setting for a terminal, to enter commands in it. You are solely responsible for deciding whom to invite and what to share. We are not responsible for the actions of people you allow into your canvas.

You are responsible for Your Content and for ensuring that you have the rights necessary to use and share it. You must keep your own backups; the Services are a workspace, not a storage or backup service.

6. Copyright complaints

We respect intellectual property rights and expect you to do the same. If you believe that material available through the Services infringes your copyright, send a notice tohello@multipeer.sh that includes: a description of the copyrighted work; the location of the material you believe is infringing; your name, address, telephone number and email address; a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and your physical or electronic signature. We will remove or disable access to material that we determine to be infringing and may terminate the accounts of repeat infringers.

7. Third-party agents, tools and services

multipeer runs the agents and command-line tools you choose, on your own computer and with your permissions. These are third-party products that we do not control. Each is subject to its own terms, pricing and privacy practices, and your use of them is solely between you and their providers. We make no representations about them and are not responsible for their conduct, output or availability.

You are responsible for any charges your agents incur with their providers and for complying with those providers' terms.

Sign-in through Google or GitHub is subject to those providers' terms. We are not responsible for their services.

8. Acceptable use

You agree not to use the Services to:

  • Violate any applicable law or regulation, or assist anyone else in doing so.
  • Access a canvas, account, device or system without authorization, or remain in a canvas after being removed.
  • Interfere with, disrupt, probe, scan or overload the Services, our infrastructure, our providers, or other users' devices.
  • Circumvent any security or access control in the Services, including the joining code, team membership checks, rate limits or feature controls.
  • Send unsolicited communications, including team invitations to people who have not asked for them.
  • Upload or distribute malware, or share material that is deceptive or infringing.
  • Impersonate any person or entity, or misrepresent your affiliation with anyone.
  • Harass, threaten, defame or harm any person.
  • Collect information about other users without their consent.

If you discover a security vulnerability, please report it to us at hello@multipeer.sh before disclosing it publicly and allow us a reasonable time to address it. We will not pursue legal action against good-faith security research conducted in accordance with this paragraph.

9. Fees

The Services are currently provided free of charge. We may introduce paid plans or features in the future. If we do, we will publish the prices and payment terms in advance, and nothing you are already using will become paid without notice and your agreement. Charges from third-party providers, such as the model providers whose API keys you use, are between you and those providers.

10. Intellectual property

The Services, including the application, the website, their design, text, graphics, mascots, logos and the multipeer name, are owned by Multiplayer Labs, Inc. or its licensors and are protected by copyright, trademark and other laws. Except for the limited license granted in Section 4, nothing in these Terms gives you any right, title or interest in the Services.

If you send us feedback, suggestions or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.

11. Beta features and changes to the Services

multipeer is under active development. We may add, change or remove features at any time, enable features for some users before others, and offer pre-release or test builds that may contain defects. We may also suspend or discontinue the Services, in whole or in part, at any time. Where reasonably practicable we will give you notice of material changes, but we are not liable to you or to any third party for any modification, suspension or discontinuation of the Services.

12. Term and termination

These Terms apply from the moment you first use the Services and remain in effect until terminated. You may stop using the Services at any time and may request deletion of your account by contacting us at hello@multipeer.sh.

We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms, if we are required to do so by law, if your use creates risk or legal exposure for us or for other users, or if we discontinue the Services. Where reasonably practicable we will tell you the reason.

Upon termination your license to use the Services ends and you must stop using the application. Sections 5, 10, 13, 14, 15, 16, 17 and 18 survive termination.

13. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS. YOU USE THE SERVICES, AND ANY THIRD-PARTY AGENTS OR TOOLS THROUGH THEM, AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MULTIPLAYER LABS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND ONE HUNDRED US DOLLARS (US$100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

15. Indemnification

You agree to defend, indemnify and hold harmless Multiplayer Labs, Inc. and its officers, directors, employees, contractors and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Services, Your Content, your violation of these Terms, or your violation of any rights of another person or entity.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Before bringing a formal claim, you agree to contact us at hello@multipeer.sh and attempt in good faith to resolve the dispute informally for at least 30 days.

Any dispute that is not resolved informally shall be brought exclusively in the state or federal courts located in the State of Delaware, and you and we consent to the personal jurisdiction of those courts. If you are a consumer in a jurisdiction whose laws grant you mandatory protections or the right to bring claims in your local courts, nothing in this Section deprives you of those rights.

17. Arbitration and class action waiver

Please read this section carefully. It affects your legal rights.

Except for disputes that qualify for small claims court or that seek to enforce or protect intellectual property rights, any dispute arising out of or relating to these Terms or the Services that is not resolved through the informal process in the previous Section shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs this Section. The arbitration will take place in the county where you live or by video conference, and the arbitrator may award the same relief a court could award to you individually.

Class action waiver. You and we agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective or representative proceeding. The arbitrator may not consolidate claims of more than one person.

Opt-out. You may opt out of this arbitration agreement by emailing hello@multipeer.sh within 30 days of first accepting these Terms, stating that you wish to opt out. If you do, the courts described in the previous Section will resolve disputes. Opting out does not affect any other part of these Terms.

If this class action waiver is found unenforceable as to a particular claim, then this entire arbitration Section will not apply to that claim, which will proceed in the courts described in the previous Section.

18. General

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements.

Changes. We may revise these Terms from time to time. When we do, we will update the date at the top of this page and, for material changes, provide notice in the application or by email at least 14 days before they take effect. Your continued use of the Services after that date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.

Severability. If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.

Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them without restriction, including to a successor in connection with a merger, acquisition or sale of assets.

Notices. We may provide notices to you through the application or to the email address associated with your account. Notices to us should be sent to hello@multipeer.sh.

Export. You agree to comply with all applicable export and sanctions laws in your use of the Services.
